Terms of Service
Last updated: [Last updated date]
These terms are an agreement between [Delta Strike legal entity name] (“Delta Strike”, “we”, “us”) and the organisation that uses Delta Suite (“you”). By using Delta Suite you agree to them. If you’re accepting on behalf of an organisation, you confirm you have authority to do so.
Who we are
[Delta Strike legal entity name], trading as Delta Strike. Company number [NZ company number], NZBN [NZBN]. Registered office: [Registered office address, New Zealand].
The service
Delta Suite is a set of business apps — Delta CRM, Delta Schedule, Delta Projects, Delta Learn and Delta Knowledge — provided over the internet. You choose which apps you use and for how many people.
We may change, add or remove features over time. If a change materially reduces an app you pay for, we’ll tell you in advance.
Business use
Delta Suite is supplied for business purposes. To the extent the law allows, you agree that the Consumer Guarantees Act 1993 does not apply, because you are acquiring the service for the purposes of a business (section 43 of that Act). Nothing in these terms limits rights that can’t be excluded by law, including under the Fair Trading Act 1986 or, for Australian customers, the Australian Consumer Law.
Accounts and sign-in
People sign in with their Google account. You are responsible for who you give access to, for the permissions you assign them, and for keeping your Google accounts secure.
Tell us promptly if you believe someone has accessed your account without permission.
Acceptable use
You must not use Delta Suite to:
- break any law, including privacy, anti-spam and consumer laws;
- send email to people who haven’t agreed to receive it where consent is required;
- upload malicious code, or try to get around security or access limits;
- access another customer’s data, or interfere with the service for others;
- resell the service without our written agreement.
Your data
You own the data you put into Delta Suite (“your data”). You give us permission to host, process and transmit it only as needed to provide, secure and support the service, and as described in our Privacy Policy.
You are responsible for having the right to collect and use your data, including personal information about your customers and staff.
Some processing is done by third-party providers on our behalf. They are listed in the Privacy Policy.
AI features
Some features use an AI model to answer questions, draft text or extract details. AI output can be wrong or incomplete. Review it before relying on it.
Fees
Prices are per app, per seat, per month, as shown on our pricing page or as otherwise agreed with you in writing. Online billing isn’t available yet, so invoicing and payment terms are agreed with you directly.
[Payment terms, late payment and price-change notice period — to be confirmed]
Availability and support
We work to keep Delta Suite available and to fix problems promptly, but we don’t promise it will be uninterrupted or error-free. No service-level commitment applies unless we agree one with you in writing.
Support is available by email at support@example.com.
Ending the agreement
[Notice period for either party to end the agreement — to be confirmed]
We may suspend access if you seriously breach these terms or your use puts the service or other customers at risk. Where practical, we’ll tell you first and give you a chance to fix the problem.
After the agreement ends, you can ask us for a copy of your data. [Retention period after an account closes — to be confirmed].
Intellectual property
Delta Strike owns Delta Suite and everything in it other than your data. If you send us feedback, we may use it without obligation to you.
Confidentiality
Each of us will keep the other’s confidential information confidential and use it only for the purposes of this agreement, except where disclosure is required by law.
Liability
To the extent the law allows, neither of us is liable for indirect or consequential loss, or loss of profit, revenue or data.
[Liability cap — to be confirmed with counsel]
Changes to these terms
We may update these terms. If a change is material, we’ll tell you before it takes effect. Continuing to use Delta Suite after that means you accept the change.
Governing law
These terms are governed by [Governing law: New Zealand — confirm], and the parties submit to the [Courts of New Zealand — confirm].
